Terms of service

These terms are an agreement between Freshify LLC, 4405 Jager Dr NE Ste C4-4498, Rio Rancho, NM 87144, United States ("Freshify", "we", "us") and the Shopify merchant that installs Nope: Fraud & Bot Blocker (the "App", "you"). By installing or using the App, you accept these terms. If you install the App for a business, you confirm that you can bind that business.

1. The App

The App helps you protect your Shopify store. It monitors visits and orders, blocks or observes unwanted traffic according to your rules, adds checkout rules, and reports what happened.

The App is a decision and protection tool. It is not a web application firewall, a payment guarantee, fraud insurance, or a substitute for your own review. In particular:

• Storefront checks run in the visitor's browser and fail open. If our service or the visitor's browser does not answer, the visit is allowed.
• Checkout rules run inside Shopify, with the fields Shopify makes available.
• Service outages, missing Shopify permissions, incomplete data, or a visitor who disables scripts can reduce protection.
• No detection method is perfect. Some fraudulent visits or orders can pass, and some legitimate customers can be blocked.

2. Your responsibilities

• You choose the mode, rules, lists and automatic actions, and you are responsible for their effects on your customers.
• Cancelling an order is irreversible. It is off by default and needs your explicit confirmation.
• You remain responsible for customer communication, refunds, chargebacks, and compliance with the laws that apply to your store.
• You must tell your customers, in your store's privacy policy, that you use security and fraud prevention tools. You must have a legal basis for that processing.
• You must not use the App to discriminate unlawfully, to target people based on sensitive characteristics, or for any illegal purpose.
• You must not try to break, overload, reverse engineer or get around the App's security or usage limits.

3. Plans and billing

• Shopify bills paid plans on your Shopify invoice, in US dollars, every 30 days, plus any applicable taxes. Shopify's billing terms apply.
• You can change or cancel your plan at any time in the App. Cancelling stops future charges.
• Charges already billed are not refunded, except where the law requires it.
• We may change prices or plan limits with at least 30 days' notice. A price change applies from your next billing cycle, and you can cancel before it does.

4. Data

We process personal data as described in our privacy policy. For your customers' and visitors' data, you are the controller and we are your processor: we process that data only to provide the App, following your settings.

We keep the data secure, we use only the subprocessors listed in the privacy policy, and we help you answer your customers' privacy requests. If a security incident affects your data, we notify you without undue delay.

5. Intellectual property

We own the App, its software, and its content. While these terms are in effect, we give you a limited, non-exclusive and non-transferable right to use the App for your store.

You keep all rights to your store data. You allow us to use it only to provide, secure and improve the App. We may use aggregated, anonymous statistics that do not identify you or any person.

6. Availability and changes

We work to keep the App available, but we do not guarantee uninterrupted service. Maintenance, Shopify changes, or events outside our control can interrupt it. We may change or remove features. If a change significantly reduces a paid feature, we tell you in advance.

7. Warranty disclaimer

To the extent permitted by law, the App is provided "as is" and "as available", without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will detect or stop every threat, or that it will never block a legitimate customer.

8. Limitation of liability

To the extent permitted by law:

• We are not liable for indirect, incidental, special, consequential or punitive damages. This includes lost profits, lost sales, lost data, chargebacks, and the effects of a blocked or allowed visit, checkout or order.
• Our total liability for all claims related to the App is limited to the greater of the fees you paid us in the 12 months before the claim, or US$100.

These limits do not apply to liability that cannot be limited by law.

9. Indemnity

You agree to defend and indemnify Freshify against third-party claims arising from your rules, your use of the App, your store, or your breach of these terms or of the law.

10. Termination

• You can stop using the App at any time by uninstalling it. Billing stops, and we delete your store's data 48 hours later, as described in the privacy policy.
• We can suspend or end your access if you breach these terms, if the law requires it, or if your use puts the App or other merchants at risk. When we can, we tell you first.
• Sections 5, 7, 8, 9 and 12 continue after termination.

11. Changes to these terms

We may update these terms. If the changes are significant, we notify you by email or in the App at least 30 days before they take effect. If you keep using the App after that date, you accept the new terms.

12. Governing law

These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of laws rules. The state and federal courts located in Sandoval County, New Mexico, have exclusive jurisdiction. This does not remove protections that you have under the mandatory laws of your own country.

13. General

• These terms and the privacy policy are the entire agreement about the App.
• If a provision is invalid, the rest stays in effect.
• If we do not enforce a right, we do not waive it.
• You may not transfer these terms without our consent. We may transfer them as part of a merger, an acquisition or a sale of assets.
